Terms & Conditions
These Wholesale Terms govern the sale of H Bar C Ranchwear products to authorized wholesale accounts and are in addition to our general Terms of Service. Where the two conflict, these Wholesale Terms control for wholesale transactions.
Account Approval
Wholesale accounts are subject to approval. We may require a valid resale certificate, business license, or other documentation. We reserve the right to approve or decline any account at our discretion.
Minimum Order
The minimum opening order is $2,000. There is no minimum on reorders.
Payment Terms
First orders are due in full prior to shipping. Subsequent orders are due upon receipt unless other terms have been agreed to in writing. International orders are paid in full prior to shipping until a long-standing account relationship is established.
Lead Time
Orders typically ship within 5 business days of confirmation. We are not liable for delays caused by events beyond our reasonable control.
Pricing
Wholesale prices are as listed on the current linesheet and are subject to change without notice. Pricing in effect at the time of order confirmation applies.
Minimum Advertised Price (MAP)
Authorized dealers may not advertise, promote, or list H Bar C products for sale below the manufacturer's suggested retail price (MSRP). This includes all advertising channels: websites, marketplaces, social media, email, and print. MAP applies to advertised price only; you remain free to sell at any price in-store. We reserve the right to suspend or terminate any account that violates MAP.
Authorized Channels / No Transshipment
H Bar C products may only be sold through the dealer's approved retail location(s) and approved website. Listing or selling H Bar C products on third-party marketplaces — including but not limited to Amazon, eBay, Walmart Marketplace, Temu, and similar platforms — is prohibited without our prior written consent. You may not sell or transship H Bar C goods to other resellers, distributors, or wholesalers.
Brand & Intellectual Property
All H Bar C trademarks, logos, images, and brand assets remain our property. You may use our brand assets solely to market and sell the products you've purchased, and you agree to represent the brand accurately. We may revoke this permission at any time.
Resale Condition
You agree to sell H Bar C products in their original, unaltered condition with all tags and labels intact.
Cancellations
Confirmed orders may not be canceled once production or fulfillment has begun without our written consent.
Returns
All wholesale sales are final except for verified defects, as set out in our Wholesale Returns & Defect Policy.
Termination
We may suspend or terminate any wholesale account at our discretion, including for MAP violations, unauthorized channel sales, non-payment, or any breach of these Terms.
Governing Law & Disputes
These Wholesale Terms are governed by the laws of the State of Tennesse. Any dispute shall be resolved as set out in our general Terms of Service, including the arbitration and dispute-resolution provisions therein.
